GRASSP is a proprietary clinical outcome assessment (COA) instrument developed at University Health Network (UHN). Copyright protection arises automatically upon creation and does not require registration. UHN, as copyright owner or authorized rights holder, controls the use of GRASSP and the rights to reproduce, distribute, modify, translate, adapt, display, publish, and otherwise use the instrument, subject to the terms of any applicable agreement. Any use of GRASSP requires permission from the copyright holder, typically granted through a written license agreement. Neural Outcomes Consulting Inc. (NOCI) is the sole distributor of GRASSP worldwide.

No use of GRASSP, including administration, scoring, reproduction, translation, digital adaptation, eCOA integration, training, or related derivative use, is permitted without a valid, fully executed License Agreement. Downloading, printing, or referring to the instrument does not by itself grant any license or authorization to use GRASSP.

Restrictions

Unless expressly authorized in the License Agreement, GRASSP may not be modified, adapted, abbreviated, combined with other instruments, or otherwise altered. GRASSP may not be translated into any language without prior written approval from UHN. GRASSP may not be embedded, integrated, or adapted into any electronic, digital, app-based, or eCOA platform without a separate written agreement. GRASSP may not be sublicensed to any third party, subcontractor, or affiliate without prior written approval. GRASSP scoring algorithms, manuals, and related materials are licensed materials and are subject to the same restrictions.

Audit and reporting

UHN and NOCI reserve the right, on 30 days’ written notice, to audit the licensee’s records relating to GRASSP use, including the number of administrations, de-identified patient records reasonably necessary to verify the context of use, funding documentation, and any regulatory submissions in which GRASSP data appears. Licensees must also provide annual usage reports by January 31 of each year, covering the prior calendar year’s administration volume, use context, and any changes in organizational structure or funding. A licensing agreement may also require the licensee to report the actual number of uses of GRASSP on an annual basis or at the end of the license term, as applicable.
